Terms of service
Draft for legal review. This page is not final and may change before it takes effect. Notes marked "For legal review" are for our reviewers and will be removed.
1. These terms
These terms apply to the client portal and the services (AI agents and AI training) provided by [BUSINESS_LEGAL_NAME not set] (UEN [BUSINESS_UEN not set]), "we" or "us". "Client" means the organisation that has agreed with us to use the services, and "you" means the client and the people it authorises. If a signed agreement or order form with your organisation conflicts with these terms, the signed agreement wins.
2. The service
We build and run AI agents for a client's business workflows, provide AI training, and provide a client portal. Some agents answer on the client's own WhatsApp Business account and phone number, which the client connects through the portal. The services and features each client receives are set out in its agreement or order form.
3. Accounts and access
- Access is by invitation only. You sign in with a Google or Microsoft work account.
- Keep your sign-in methods secure. Tell us straight away if you think someone else has accessed your account.
- Client owners are responsible for who they invite, and for removing access when someone leaves.
4. If you connect a WhatsApp Business account
- The client owns its WhatsApp Business account and phone number and stays responsible for them.
- The client must comply with Meta's terms for the WhatsApp Business Platform, including the WhatsApp Business Messaging Policy and Commerce Policy, and must have the opt-ins and consents needed to message its customers.
- Meta charges for WhatsApp messaging directly. The client sets up and manages billing in WhatsApp Manager.
- If Meta restricts, suspends or disconnects an account or number, the related service may stop working. We will tell you what we know and help where we can.
5. AI features
- AI agents can make mistakes. Review important answers, and keep a person involved in decisions that significantly affect someone, such as shortlisting or rejecting job candidates.
- The client is responsible for how it uses AI output, including compliance with employment and fair-hiring rules that apply to it, such as the Tripartite Guidelines on Fair Employment Practices.
Check the fair-employment wording against current Singapore law and guidelines, including the Workplace Fairness Act, before publishing.
6. Acceptable use
You must not use the services to send spam or unlawful content, mislead or harass people, collect personal data without a lawful basis, interfere with or try to bypass our security, or break Meta's policies.
7. Personal data
We handle personal data as described in our privacy policy. For personal data we process on a client's behalf, we act as a data intermediary under our data processing agreement, which the client accepts in the client portal.
8. Fees
Our fees are set out in the client's agreement or order form. WhatsApp messaging charges are billed by Meta, not by us.
9. Confidentiality and intellectual property
Each party keeps the other's confidential information confidential. The client keeps all rights in its content and data. We keep all rights in our software, agent configurations and know-how, and grant the client the right to use them for the length of its agreement.
10. Suspension and ending the service
We may suspend access to protect the service or other users, or if these terms are seriously breached. We will tell you why and, where possible, give you a chance to fix the problem first. When a client's agreement ends, we disconnect its WhatsApp number from our platform and delete its data as described in our privacy policy.
11. Warranties and liability
We provide the services with reasonable skill and care, but we do not promise they will be uninterrupted or error-free, or that AI output will be accurate. To the extent the law allows, we are not liable for indirect or consequential loss, and our total liability in any 12 months is limited to the fees the client paid us in that period. Nothing in these terms limits liability that cannot be limited by law.
Liability cap and exclusions need legal review and should match client agreements.
12. Changes
We may update these terms. We will give clients at least 30 days' notice of material changes.
13. Governing law
These terms are governed by the laws of Singapore. The courts of Singapore have exclusive jurisdiction.
